We are currently looking for an experienced legal professional with a real estate background to join Honeywell’s Prague Legal Hub.

The Assistant General Counsel, Real Estate (EMEA) is the real estate legal leader for the EMEA region, partnering with the EMEA Global Real Estate Team and business and functional teams to support the Company’s EMEA real estate initiatives, as well as M&A initiatives and global initiatives that involve and/or otherwise impact the EMEA Region. This position reports directly to the General Counsel, Global Real Estate, with matrix manager reporting to Director, Real Estate, EMEA.

As the first point of contact for real estate initiatives from a legal perspective, the successful candidate will be responsible for a variety of different responsibilities, with various different projects and files to be worked on relating to Honeywell’s real estate initiatives throughout the region.

Assistant General Counsel, Real Estate Responsibilities

  • Delivery of real estate legal services in a timely and effective manner across the EMEA Region.
  • Serve as the first point of contact with respect to the legal aspects of all real estate initiatives in EMEA for the EMEA Global Real Estate team; Corporate Law Department; Procurement; Business Development (M&A); Vice President and General Counsel, EMEA; General Counsel, Global Real Estate Global; and work with other stakeholders (including Treasury, Tax, Risk Management, Government Relations and Environmental Legal and Heath, Safety, Environment & Sustainability).
  • Support the Company’s real estate initiatives for the EMEA Region including purchases, sales, leases/subleases, and procurement activities. This support includes analysis and advice on all legal and regulatory issues (including zoning, permitting and approval requirements); drafting, negotiating and managing transaction documentation; title matters (including analyzing and addressing title issues); drafting, negotiating and managing construction contracts and professional appointments, lease analysis for consolidation, early termination and surrender opportunities (including identification of surrender and dilapidation issues); and corporate secretarial matters (including authorized signatories) in support of real estate initiatives.
  • Provide real estate functional support to the Business Development teams for business acquisitions, divestitures and joint ventures including real estate due diligence, identification and analysis of potential real estate legal risks, and real estate advice/input re definitive agreement. Lead support for transactions focused in the EMEA Region; Support General Counsel, Global Real Estate, for global transactions.
  • Manage external counsel for matters in the EMEA Region efficiently and on a cost-effective basis; implement processes and procedures for outside counsel real estate support throughout the EMEA Region; drive the fee estimate process; and act as central point of contact for approval of real estate invoices.
  • Develop and drive standardized processes, procedures and templates for the efficient delivery of legal services in the EMEA Region and as a part of the global real estate legal team.
  • Support the Law & Government Relations real estate website including taking the lead regarding EMEA real estate website initiatives, posting EMEA best practice documentation, policies and procedures, reference library documentation, and other matters of real estate interest associated with the EMEA region.
  • Support business General Counsel(s) to manage real estate claims/litigation matters.

Requirements

  • JD/LLB or equivalent law degree and a member in good standing of the relevant legal bar.
  • 8+ years‘ experience with major law firm and/or corporation (specialty – real estate) as an attorney. Combination of a major law firm (with a minimum of 4 years‘ experience) and corporate experience is preferred.
  • Significant experience handling complex real estate transactions in the EMEA region (with strong experience in France, Germany, United Kingdom and/or Czech Republic) including, without limitation, property purchases, build to suit leases, negotiating with governmental entities, and permit and licensing requirements
  • Excellent real estate and legal analytical skills
  • Ability and determination to work independently and to be an intelligent risk taker
  • Strong IT literacy and an experienced user of Microsoft Office suite.
